If I am looking to just sell my homemade candles to friends, would I need a permit?  
     


   To Set up a Business  and get licenses, you need to know that all businesses need an EIN, a business license, as well as a DBA because the business name is "Linda & Kyle Candle ", which you are registering  with an LLC, anyway so you don't need a  DBA or Corporate certificate. Because, vending food, such as snacks, is taxable when sold, you will need a seller's permit.

    A: Actually, in Ohio, the seller's permit is called a "Vendor's" permit.  So you only need the vendor's license also called a seller's permit.  To recap, you will need at least 2 license permits for your resale business : A business license, and a seller's permit.  The seller's permit is required because you need it to buy the Candles wholesale and sell it retail...   In addition, since " Scentual," is a fictitious business name, you will need to register it with a DBA, LLC or corporation.  If you are a partnership, an LLC or corporation or even an independent sole owner contractor, you will also need an federal EIN. Finally, since you are using a trade name, such as "Smelly Sancho," you will need a DBA filing, or, alternatively, you can form an LLC or set up a corporation and that will register your trade name. In addition, note that, since you selling candles, and  you want to buy or sell wholesale(in bulk) or sell retail(in small amounts) any candles or candle materials, items or equipment, you need a SELLER'S PERMIT.

Answer: Hi Brandon, here is What you Need To Sell in 38134.  You need to   get Seller's Permit to sell Candle's retail.  Here's what you need in Memphis. In Shelby County,  70% of the Home Based Business succeeds within 3 years versus 30% of regular business.  You need at least the DBA, because "   Shelby Candles, LLC," is a trade name,  an EIN, a seller's permit to sell the items and collect sales tax as well as buy your merchandise wholesale. Finally, you need a business permit:  a requirement based on number of employees, gross income and location.

    Note that you can also register your trade name with an LLC or corporation instead of filing a DBA.  Since you indicated that your business name has an LLC suffix, you need to set up an LLC.  
 

You can choose to be a(n) Candle :

  • Sole Proprietor,
  • LLC,
  • Corporation or
  • Partnership.
    After you decide and select your business entity, you need licensing.



Memphis Business Tax Registration ( Business License)
All businesses including home, online or mobile BUSINESS need a BUSINESS license because they are BUSINESSES.



A(n) Candle business doing business under an assumed business name in Shelby County i.e. you are a business with a trade name other than the owner's legal (full name) name are required to get a(n) assumed business name certificate.   E.g. you venture into a(n) Candle business and you give it a trade name such as "Excellence Candle & Associates". You will need to register an assumed business name certificate.

In addition note that in TN you may also need a seller's permit if you sell merchandise that is taxable.  (A.K.A state id, wholesale, resale, reseller certificate, about $39 for most states).

IRS rule: The client must issue a 1099 form to the independent contractor and the independent contractor must have a federal tax ID. However, even sole owners may obtain a federal ID and use it as a business tax ID instead of using their own social security number as a business tax ID number.
However, all other licenses that apply to sole proprietors as discussed here are requited regardless of getting a federal tax ID number.


In addition you will need a federal and a state EIN if you will hire employees. I.e., a TN Federal Tax Id Number ($29)  and a(n) TN  State Employer Tax Number  


Instead of filing a fictitious business name DBA Filing (about $49 plus state and legal newspaper publication fees) in Memphis, Incorporate in TN  or form a(n) TN LLC
. 

You have a choice to file a DBA or form an LLC or incorporate. There is a cicrcumstance that you may not need to register a trade name and that is when you use your full name as a business name if you use your full legal name as a trade name.
Also note that even using your first and last name may not help you avoid filing a DBA if the name has a suffix such as "& sons" etc.



If you do form an Home Based Business llc or incorporate (about $49 plus state fees for most states) your Candle business instead of just filing a fictitious business name (dba), it will help you avoid personal liability from wrongs arising from your business dealings and you will not have to file the Memphis business name. Instead of just registering your Shelby County assumed business name (our fee includes assumed business name registration and legal newspaper publication) you can choose to setup a corporation in TN or form an TN LLC (starts @ $49 plus state fee for most states & includes required documents such as bylaws for the corporation and Limited Liability operating agreement for the LLC). .
