Sellers Permit or Resale License

If you want to buy any taxable merchandise such as jewelry or clothing at wholesale prices to make jewelry to re-sell, or to buy clothing and accessories to resell them, then you need state sellers permit or sales tax license also called a resale license.

States Require A Sellers Permit

This is because most states require jewelry vendors to collect tax on sales made within that state as opposed to out of state.  For example, you are in California and you sell a piece of jewelry, e.g., a gold ring, to a New Yorker.  Since your business is located in CA, you do not need to charge taxes.  

Selling in-state requires that you charge sales tax

On the other hand, if you sell in California you need to charge sales tax on every retail sale that’s shipped to any address within California.   So if you are selling your jewelry,  get your sellers permit also called a resale license.   There is no other way to buy wholesale and re-sell retail.  The implication is that even if you sell just wholesale, you still need to get the resale license.   This is because in the end... the end user has to pay sales tax.  Hence the requirement to get a sellers permit as a wholesaler so the state can monitor sales between wholesalers and retailers ( taxable item sales that is ).    

    Anytime you run into a state inspection, the state it will you to show proof that tax-exempt sales are indeed sold to vendors with a valid Seller’s Permit. Unless you had a valid resale license at the time of the sale, you will have to pay the taxes or penalties of the sales without a resale license. Things are that harsh.

    For instance, you are located in Texas, and you try to buy wholesale from Pennsylvania, despite that you will not sell in PA, you will need  a resale certificate to produce to the wholesaler to make sure your can re-sell the items purchased wholesale.    
   

You can choose to be a(n) Online Resale :

  • Sole Proprietor,
  • LLC,
  • Corporation or
  • Partnership.
    After you decide and select your business entity, you need licensing.



Pontiac Business Tax Registration ( Business License)
All businesses including home, online or mobile BUSINESS need a BUSINESS license because they are BUSINESSES.



A(n) Online Resale business using a fictitious business name in Oakland County i.e. you are a business that uses a DBA doing business as trade name to trade that is other than the full legal (first and last -- full name) name of a sole proprietor or a name other than the LLC or Corporation business name need a(n) fictitious business name.   For instance you open a(n) Online Resale business and you name it "Superior Online Resale Group". You will need to file a fictitious business name for that name.

In addition note that in MI you may also need a seller's permit if you sell merchandise that is taxable.  (A.K.A state id, wholesale, resale, reseller certificate, about $39 for most states).

Note: All businesses need a federal tax ID number except sole proprietors that are not employers and are not independent contractors.
An independent contractor is a self employed business person that receives more than $600 per year from anyone of his or her clients.
IRS rule: The client must issue a 1099 form to the independent contractor and the independent contractor must have a federal tax ID. However, even sole owners may obtain a federal ID and use it as a business tax ID instead of using their own social security number as a business tax ID number.
However, all other licenses that apply to sole proprietors as discussed here are requited regardless of getting a federal tax ID number.


In addition you will need a federal and a state EIN if you will hire employees. I.e., a MI Federal Tax Id Number ($29)  and a(n) MI  State Employer Tax Number  


Instead of filing a fictitious business name DBA Filing (about $49 plus state and legal newspaper publication fees) in Pontiac, Incorporate in MI  or form a(n) MI LLC
. 

Filing a DBA is not required if you will set up an LLC or form a Corporation. There is a cicrcumstance that you may not need to register a trade name and that is when you use your full name as a business name if you use your full legal name as a trade name.
Also note that even using your first and last name may not help you avoid filing a DBA if the name has a suffix such as "& sons" etc.



If you do form an Wholesale Trade llc or incorporate (about $49 plus state fees for most states) your Online Resale business instead of just filing a fictitious business name (dba), that insurs that you don't have personal liability for debts and civile liabililty arising from your business dealings and you will not have to record the Pontiac business name. Instead of just registering your Oakland County assumed business name (our fee includes assumed business name registration and legal newspaper publication) you can choose to setup a corporation in MI or form an MI LLC (starts @ $49 plus state fee for most states & includes bylaws for the corporation and Limited Liability operating agreement for the LLC that is required to open a business bank account). .
